Overview
A leading global automotive and manufacturing company is seeking a senior, hands-on Commercial & M&A Counsel for an immediate contract engagement.
This role is designed for an experienced attorney who can operate independently as a lead drafter and negotiator , supporting complex commercial transactions and mergers & acquisitions activity. The ideal candidate will be comfortable working in a fast-paced, high-volume environment and partnering directly with business stakeholders across multiple functions.
Key Responsibilities
- Commercial Contracting: Lead drafting and negotiation of complex commercial agreements, managing the full contract lifecycle from initial draft through execution
- M&A Transactions: Draft and negotiate key transaction documents, including: (1) Asset Purchase Agreements (APAs); (2) Stock Purchase Agreements (SPAs); (3) Transition Services Agreements (TSAs); (4) Ancillary transaction documents
- Investment Support: Manage legal aspects of ongoing investments and strategic transactions with minimal oversight
- Strategic Advisory: Provide practical, business-oriented legal advice on contract interpretation, deal structuring, and risk allocation
- Cross-Functional Collaboration: Partner with Finance, HR, Operations, and other stakeholders on diligence, negotiations, and integration planning
- Risk Mitigation: Identify legal and operational risks and propose effective mitigation strategies
- Project Management: Handle multiple high-priority, time-sensitive matters simultaneously
Qualifications
- Juris Doctor (JD) from an accredited law school
- Active bar membership in good standing in at least one U.S. jurisdiction
- 7–15 years of experience as a commercial and M&A attorney
- Significant experience at a large law firm required
- Demonstrated ability to independently draft and negotiate complex commercial and M&A agreements as lead counsel
- Strong experience operating in fast-paced, high-volume corporate environments
- Excellent written and verbal communication skills, with the ability to advise non-legal stakeholders
