A well-established New Jersey law firm is seeking a Corporate Attorney to join its transactional practice. This position offers an unusually attractive combination of sophisticated corporate work, a highly competitive salary range, and a manageable 1,650-hour annual billable target.

About the Role

The incoming attorney will work closely with the firm's Managing Partner and other senior partners advising public and privately held companies, investors, executives, founders, and other business clients. The role offers meaningful responsibility for transactions, direct client interaction, and the opportunity to provide practical, business-oriented counsel within a collaborative environment.

Responsibilities

  • Represent buyers, sellers, investors, and management teams in mergers, stock and asset acquisitions, joint ventures, and other strategic transactions
  • Draft and negotiate letters of intent, confidentiality agreements, purchase and merger agreements, disclosure schedules, escrow agreements, transition-services agreements, and related documents
  • Conduct and manage legal due diligence
  • Coordinate transaction signing and closing processes
  • Advise clients on entity formation, capitalization, corporate governance, fiduciary duties, restructurings, equity issuances, and general corporate matters
  • Draft and negotiate commercial agreements, including services, licensing, consulting, vendor, supply, distribution, and confidentiality agreements
  • Support debt and equity financing transactions
  • Communicate directly with clients and provide practical legal and business guidance
  • Supervise junior attorneys and legal professionals as appropriate

Qualifications

  • Approximately 5-10+ years of relevant corporate transactional experience at a law firm or comparable in-house legal department
  • Substantive M&A experience, including due diligence, principal transaction documents, disclosure schedules, and closing mechanics
  • Experience with corporate governance, entity formation, and commercial contracting
  • Strong drafting, negotiation, analytical, organizational, and project-management skills
  • Ability to manage multiple matters and deadlines independently
  • New Jersey Bar admission required
  • New York Bar admission or eligibility for prompt admission required

Pay range and compensation package

  • Base salary of $150,000-$300,000+, commensurate with experience, portables, and qualifications
  • Approximately 1,650 billable hours annually
  • Year-end discretionary bonus
  • 20% origination credit
