Corporate Counsel — Roper Technologies (Sarasota, FL)

POSITION OVERVIEW

Reporting to the Deputy General Counsel, this individual will serve as a trusted legal advisor to Roper's portfolio of operating subsidiaries, providing practical, business-oriented guidance across a broad range of commercial, transactional, and compliance matters. The role offers meaningful client responsibility from day one, with direct exposure to M&A activity, complex commercial negotiations, product advisory, and the full spectrum of legal issues arising across our diversified software and technology-enabled businesses.

KEY RESPONSIBILITIES

  • Draft, review, and negotiate a wide range of commercial agreements, including software license, SaaS and cloud services, supply and manufacturing, distribution and reseller, API and data licensing, professional services, and data processing agreements
  • Support the M&A function through legal due diligence, drafting and negotiating acquisition documents, and post-closing integration
  • Partner directly with operational leadership to identify and mitigate legal risk across day-to-day business operations
  • Advise on regulatory compliance, including data privacy, trade compliance and sanctions, consumer protection, and industry-specific regulations
  • Manage pre-litigation disputes, subpoena responses, and settlement negotiations; oversee outside counsel on active litigation, including budgets and work product
  • Support corporate compliance programs, policies, and training initiatives across the portfolio
  • Advise on emerging legal issues related to artificial intelligence, data governance, and technology-driven business models
  • Collaborate across the Legal department on corporate governance, IP, labor and employment, and other specialized matters

QUALIFICATIONS

  • JD from an ABA-accredited law school; superior academic performance required
  • Member of the bar and in good standing in at least one state
  • Minimum of two years of legal experience; strong preference for candidates who have practiced at a multinational law firm
  • Familiarity with drafting, reviewing, and negotiating technology and commercial agreements
  • Excellent analytical, organizational, and communication skills, with sound prioritization across multiple stakeholders and business units
  • Strong interpersonal skills and a collaborative approach to cross-functional work
  • Sound legal judgment with a practical, business-oriented approach in a decentralized operating environment
  • Self-directed work style with high personal accountability and attention to detail
  • Comfort managing a high-volume workload with competing deadlines
  • Interest in or experience with AI governance and emerging technology legal issues

PREFERRED QUALIFICATIONS

  • Familiarity with the M&A process, including due diligence, deal documentation, and integration planning
  • Demonstrated experience leading or supporting complex technology and commercial contract negotiations
  • Familiarity with data privacy laws and frameworks, including DPA negotiation
  • Experience advising across a range of industries and business models
