Summary
The Corporate Counsel will play a critical role in providing legal counsel on complex issues such as mergers & acquisitions, corporate governance, regulatory compliance, HIPAA/privacy support, and privacy leadership with the Chief Privacy Officer. You will partner with the Associate General Counsel – Shared Services and other attorneys to meet the Legal Department’s goal of delivering timely, actionable, and responsive legal services.
Essential Duties & Responsibilities
- Provide day‑to‑day legal support and general counseling for shared services, covering corporate governance, board and subsidiary management, privacy, employment, intellectual property, and other matters.
- Support the corporate development team on M&A and other corporate transactions, including drafting, negotiation, and diligence support.
- Lead privacy strategy initiatives with the Chief Privacy Officer, overseeing HIPAA and data‑security matters, policy development, incident analysis, and business associate agreements.
- Review, track, and monitor legislation and regulations affecting the organization, and provide analysis and summaries to leadership.
- Occasionally support vendor, IT, and commercial agreements as needed.
- Innovate using generative AI tools to streamline legal workflows and improve efficiency.
- Build strong relationships with business clients, legal, and compliance partners.
Qualifications
- Juris Doctor from an ABA‑accredited law school.
- Active admission to at least one state bar and in good standing.
- 2‑5 years of corporate, healthcare, or privacy‑focused legal experience, in‑house or law firm.
- Experience advising healthcare providers, health plans, MSOs, or other regulated healthcare entities preferred.
- Experience in corporate governance, entity management, M&A, and other corporate transactions.
- Strong legal analysis, research, drafting, negotiation, and problem‑solving skills.
- Experience with healthcare regulatory, compliance, privacy, and data‑protection matters, including HIPAA.
- Proficiency using generative AI tools to enhance legal work.
- Highly organized, detail‑oriented, and able to manage multiple priorities in a fast‑paced environment.
- Self‑starter with sound judgment and strong decision‑making; able to work independently and collaborate effectively.
- Proficient in Microsoft Office (Word, Excel, Outlook, PowerPoint).
