Corporate Legal Team Position
This is a hybrid in-office role that works out of our Boston location (Monday-Thursday onsite, Friday remote).
We are seeking a strategic, business-minded lawyer to join our Boston-based Corporate legal team. This high visibility role will take end-to-end ownership of core Corporate processes, including global subsidiary management, D&O questionnaires, quarterly compliance exercises and section 16 filings, while also gaining exposure to the broader Corporate and Securities vertical. This is a great growth opportunity for an early career lawyer to gain subject matter expertise while also making an immediate impact.
We're looking for someone who is highly detail oriented, thrives in a collaborative environment, and knows how to put technology — built or bought — to work designing scalable processes and driving efficiency.
This position is based in our Boston headquarters. We believe in-person collaboration is a competitive advantage. Enterprise employees are typically in-office Monday through Thursday, with Fridays remote.
What You'll Do
- Serve as primary point of contact for subsidiary governance — leading formations, dissolutions, foreign qualifications, restructurings, and integrations across domestic and international legal entities
- Maintain the entity management system and official subsidiary records, minute books, and compliance calendars across jurisdictions, ensuring accuracy in directors, officers, managers, stockholders, and authorized signatories
- Own Section 16 filings (Forms 3, 4, and 5) and beneficial ownership monitoring for insiders
- Support preparation of routine SEC filings (10-K, 10-Q, 8-K) and transaction diligence under the guidance of senior corporate counsel
- Build and continuously improve the tools, workflows, and automation that support this role's work — this position is as much about putting better processes into production and reducing manual work as it is about mastering the subject matter
- Support Board and committee matters — drafting resolutions, written consents, and minutes in partnership with senior counsel
What You'll Need
- J.D. from an accredited law school
- Admitted to practice law in Massachusetts, or licensed in the jurisdiction in which you live and work (with willingness to obtain Massachusetts admission)
- 1-3+ years of relevant experience in a law firm or comparable in-house experience
- Genuine enthusiasm for using technology to solve legal problems and a desire to build fluency in AI and legal tech tools — no prior track record required, but you should be eager to apply these tools to real workflows from day one
- Exposure to public company governance or entity management is a plus, not required
- Strong organizational, project management, and multitasking skills to manage multiple competing matters and deadlines
- Self-motivated, with a roll-up-sleeves mentality and willingness to tackle problems of all shapes and sizes
- Excellent communication skills with the ability to translate complex corporate governance concepts for stakeholders
