Alamo Group Inc. is currently accepting applications to fill a Corporate Counsel position at its corporate headquarters in New Braunfels, TX. The Corporate Counsel will provide general legal support to all Alamo Group business units and activities, including corporate compliance, litigation, commercial law, contracts, intellectual property, dealer protection laws, product safety, anti‑corruption, export controls, anti‑trust regulation, and mergers and acquisitions.
Responsibilities
- Assist with management of pre‑litigation and litigation matters.
- Assist with the continuing development and oversight of Alamo Group’s global compliance program, including maintaining and revising policies and procedures to prevent illegal, unethical, or improper conduct.
- Review contracts as required by business units, including dealer agreements, supply agreements, NDAs, consulting agreements, IT agreements, licensing, and other agreements.
- Assist with due diligence and contracting efforts in connection with merger and acquisition transactions undertaken by Alamo Group.
- Work with internal clients regarding any pre‑litigation dispute matters and any other legal matters that require review and attention.
- Assist with human resources and labor/employment counseling and advice.
- Manage Alamo Group’s portfolio of global legal entities and ensure all required filings are made on a timely basis.
- Assist with real estate transactions including review and counseling on commercial leases and in connection with real property acquisitions/dispositions.
- Develop training programs, communications, and tools to foster improved awareness of and adherence to Alamo Group’s global compliance program.
- Ensure that internal clients are aware of impending changes in regulations and laws that will affect the company’s business operations and reporting obligations.
- Implement improvements to contract templates and the proper use of templates.
- Provide ongoing training and guiding business teams on the use of contract templates, relevant legal issues, and good contracting practices.
- Advise internal business clients regarding dealer termination issues as required.
- Assist with the overall management of Alamo Group’s patent and trademark portfolio, including monitoring renewal requirements and potential infringement.
- Establish and maintain strong working relationships with Alamo Group leaders and key external stakeholders, including Alamo Group company presidents.
- Perform additional duties as assigned.

Education and Experience
- Juris Doctor from an ABA accredited law school and be a member of the bar in good standing in at least one state required.
- 3–8 years of overall law firm and/or in‑house experience required.
- Preference for Texas residents as no relocation assistance offered.
Working Conditions
Work performed in an office environment indoors with frequent sitting for extended periods of time and occasional walking in and around a manufacturing plant. A portion of the work may be performed on a remote basis but not more than 2 days per week.
