Job Title: Associate Corporate Counsel (Transactional Focus)
Location: Maryland, United States
Compensation: $160,000 - $200,000
An established and growing renewable energy developer and owner is seeking an experienced attorney with at least four years of transactional, real estate, and corporate finance experience to join its in‑house legal team.
Working closely with senior business and legal leadership, this individual will play a key role in supporting project development, acquisitions, underwriting, and project finance transactions. This is an excellent opportunity to gain broad exposure across the full lifecycle of renewable energy projects within a collaborative, high‑growth environment.
Key Responsibilities
- Draft, review, redline, and negotiate a broad range of commercial agreements, including:
- Non‑disclosure agreements
- Power Purchase Agreements (PPAs)
- Leases
- EPC agreements
- Other commercial and project‑related contracts
- Adapt and improve standard contract templates to meet business requirements.
- Manage legal aspects of transactions to ensure efficient execution and timely project closings.
- Support project finance transactions by preparing and coordinating due diligence materials for debt and equity investors.
- Assist with underwriting processes and monitor project funding requirements and post‑closing obligations.
- Maintain and organise legal due diligence portfolios for project financing activities.
- Support the development and implementation of company‑wide risk management initiatives.
- Provide practical legal advice to cross‑functional teams on commercial and project development matters.
- Assist with strategic initiatives and special projects as required by executive leadership.
Required Experience
- Juris Doctor (JD) from an accredited law school and admission to practice law in at least one U.S. jurisdiction.
- Minimum of four years' experience in transactional law, corporate finance, commercial contracts, or real estate.
- Strong contract drafting and negotiation skills.
- Experience managing multiple transactions simultaneously in a fast‑paced environment.
- Excellent communication, organisation, and stakeholder management skills.
- Ability to work independently while collaborating effectively with business teams.
Preferred Experience
- Experience within renewable energy, infrastructure, project finance, or related sectors.
- Familiarity with project development and acquisition transactions.
- Experience supporting cross‑functional commercial teams in an in‑house environment.
