ARC Group is seeking an experienced In-House Corporate Counsel to support a leading retirement and financial services organization. This attorney will serve as a key legal partner supporting a large-scale retirement platform with a primary focus on ERISA and employee benefits compliance , along with responsibilities spanning corporate contracts, securities regulations, investment-related matters, and general corporate legal support.
This position offers the opportunity to join a collaborative in-house legal team supporting approximately 350,000 members and more than $1 billion in assets while partnering closely with senior leadership to provide practical, business-focused legal guidance.
This role can be performed remotely within the United States , with preference given to candidates who can support Eastern Time business hours. Candidates located near Boca Raton, FL may have the option for occasional in-office collaboration.

Key Responsibilities
ERISA & Employee Benefits Compliance (Primary Focus)
- Serve as the primary legal resource for ERISA-related matters, including fiduciary responsibilities, plan governance, and regulatory compliance.
- Provide legal guidance regarding the administration and operation of 401(k) and retirement plan platforms.
- Monitor regulatory developments and support responses to Department of Labor (DOL) and IRS inquiries, audits, and compliance matters.
- Advise internal stakeholders on employee benefits regulations and retirement plan requirements.
- Draft, review, negotiate, and manage corporate agreements, vendor contracts, and business documentation.
- Provide legal guidance on commercial transactions, operational initiatives, and business agreements.
- Partner with internal teams to identify risks and develop practical legal solutions.
- Support SEC filings, disclosures, and ongoing securities compliance obligations.
- Assist with interpreting and applying federal securities regulations.
- Provide legal support related to investment activities and regulatory requirements.
- Advise on legal matters related to investment activities and financial services operations.
- Support compliance initiatives involving DOL, IRS, and other regulatory agencies.
- Assist with labor and employment-related legal matters as needed.
- Provide counsel on incentive compensation programs, bonus structures, and related agreements.
- Respond to demand letters, legal inquiries, and other corporate matters.
- Support additional legal initiatives and strategic business needs.
Required:
- Juris Doctor (J.D.) from an accredited law school.
- Active license to practice law in at least one U.S. state.
- 5+ years of post-qualification legal experience.
- Experience supporting corporate law, commercial contracts, ERISA/employee benefits, or related legal functions.
- Strong knowledge of ERISA, SEC, DOL, and IRS regulatory requirements.
- Excellent contract drafting, negotiation, analytical, and communication skills.
- Ability to provide practical, business-oriented legal advice in a fast-paced environment.
- Prior in-house counsel experience.
- Experience supporting retirement plans, 401(k) platforms, benefits administration, or financial services organizations.
- Background in securities compliance, investment regulation, or labor/employment law.
- Strong business judgment with the ability to balance legal risk and organizational goals.
