Key Accountabilities

  • Review, redline, and negotiate all types of contracts, including Master Service Agreements, Professional Service Agreements, Vendor Agreements, Software licensing agreements, complex e‑commerce contracts, Independent Contractor Agreements, Agency and Trademark Agreements, NDAs, Release Agreements, Bailee Waivers, Settlement and Release Agreements, and draft templates.
  • Review current contracts to revisit and amend as needed, ensuring SEKO’s position is most favorable.
  • Conduct internal contract audits to ensure provisions are up to date and comply with the legal playbook.
  • Monitor contracts for policy and procedure compliance, supplier performance, and invoice approval and payment.
  • Support Global Privacy Policies and other privacy rules, updating current policies and statements and revising vendor vetting procedures.
  • Support global initiatives such as Diversity and Inclusion and Sustainability, reporting back to executive and operational teams.
  • Assist the Legal team with corporate governance responsibilities: filings, drafting resolutions, written consents, document review and compilation, and maintenance of the document management system.
  • Evaluate major court cases, define strategy, and support litigation, including drafting litigation holds and maintaining related records.
  • Provide ongoing counsel on compliance and legal matters, liaise with internal staff to develop policies, procedures, and programs.
  • Collaborate with risk management on cargo insurance renewals to achieve cost savings while maintaining standards.
  • Maintain and negotiate company property and equipment leases.
  • Assist Human Resources with drafting employment agreements, negotiating staffing agreements and releases.
  • Liaise with outside legal counsel on litigation, bankruptcy, trademark filings, court claims, etc., to drive cost‑saving efficiencies and risk mitigation.
  • Defend SEKO’s shipping terms, including lien rights, indemnities and limits of liability.
  • Track contracting activities and opportunities, compile data for presentations and issue resolutions.
  • Review and revise SEKO templates to facilitate standardization.
  • Support Compliance department initiatives and ensure global locations remain compliant with regulations.
  • Support the General Counsel, Vice President and Executive Management with daily or ad‑hoc legal support and projects.
  • Comply with SEKO’s C‑TPAT Security Profile.

Minimum Education & Experience

  • J.D. from an ABA‑accredited law school (or foreign equivalent).
  • Licensed U.S. attorney with membership in at least one state bar (preferably IL), in good standing.
  • 5+ years of law firm and/or in‑house experience focused on contract law.
  • Experience in corporate governance, vendor and supplier agreements, logistics agreements, warehousing agreements, technology licensing agreements, U.S. and foreign trademark registrations, compliance and defense; employment law; privacy law, GDPR/Data Privacy globally; U.S. Foreign Corrupt Practices Act; OFAC regulations and similar statutes.
  • Strong knowledge of air and ocean charter reviews requiring immediate turnaround.

Preferred

  • Experience with logistics companies.

Compensation and Benefits

Base salary range: $137,400 – $196,300 USD per year. Eligible for an annual incentive bonus.
