Position Overview
GEP is seeking a commercially minded Corporate Counsel to join its in-house Legal team in Clark, New Jersey. This is a corporate-heavy role with a primary focus on entity formation, entity management, corporate governance, corporate records, and corporate transaction support across a global business.
The attorney will work closely with the General Counsel, Finance, HR, and senior leadership to provide practical, business-oriented legal guidance in a fast-moving environment. This role offers a high level of ownership and autonomy, with the opportunity to help bring structure, process, and maturity to a growing Legal function.
The role will also include exposure to employment law matters, particularly as they relate to business operations, employee lifecycle issues, and corporate transactions. Prior employment law experience is helpful, but not required. The team is open to training a strong corporate attorney who is interested in expanding into employment advisory work.

Key Responsibilities
Corporate, Entity Management & Governance
- Manage entity formation, dissolution, restructuring, and ongoing entity maintenance across domestic and international jurisdictions, coordinating with registered agents, local counsel, directors, internal stakeholders, and external providers as needed.
- Maintain and improve corporate governance records, including operating agreements, bylaws, written consents, resolutions, board/member approvals, statutory filings, and related entity documentation.
- Advise on corporate governance matters, including entity structure, director/officer changes, corporate approvals, compliance requirements, and corporate recordkeeping practices.
- Help bring structure, consistency, and process maturity to entity management and governance workflows as the Legal function continues to grow.
Corporate Transactions & Business Support
- Support M&A and other corporate transactions, including due diligence, transaction document review, closing coordination, post-closing integration, and related entity restructuring.
- Draft, review, and negotiate corporate and transaction-related documents, including NDAs, letters of intent, purchase agreements, asset purchase agreements, disclosure schedules, closing documents, and ancillary agreements.
- Partner with Finance, Tax, HR, Operations, and external advisers to support transaction workstreams, business priorities, and practical risk-based decision-making.
Employment & Legal Operations Support
- Support employment law matters as part of a broader in-house legal role, including employment agreements, offer letters, separations, settlement agreements, restrictive covenants, employee lifecycle matters, and employment issues connected to corporate transactions.
- Partner with HR and leadership on employment-related questions, claims, pre-litigation disputes, and management of external employment counsel as needed.
- Mentor legal support team members and contribute to legal process improvement, template development, workflow maturity, and technology adoption within the Legal function.
Requirements
- J.D. from an ABA-accredited law school; active bar membership in New Jersey or another U.S. jurisdiction, or eligibility for in-house counsel registration in New Jersey.
- Minimum 3 years of post-bar experience, preferable combining law firm (commercial transactions or technology practice) and in-house counsel.
- Hands-on experience in corporate law, including entity formation and dissolution, corporate governance, and M&A transactions.
- Experience managing entity portfolios across multiple jurisdictions, including liaison with local counsel and registered agents.
- Familiarity with the employment law aspects of corporate transactions.
- Ability to manage a varied workload independently and under time pressure.
- Strong written and verbal communication skills, with the ability to advise non-lawyers clearly and concisely.
- Strong business acumen: ability to legal issues into actionable guidance for non-legal stakeholders and make principled, risk-based recommendations.
- Ability to work 3 days on-site in GEP’s Clark, NJ Headquarters.
Preferred Qualifications
- Prior in-house legal experience at a global technology, SaaS, or professional services / consulting firm.
- Exposure to cross-border employment matters and international workforce issues, including disciplinary processes, terminations, restrictive covenants, and employment tribunal claims.
Salary Range :
$140,000 – $160,000 annually, based on experience and qualifications.
Additional Compensation :
Eligible for a performance-based bonus tied to individual and company performance.
