Overview

The Corporate Counsel serves as a cornerstone in safeguarding Unis LLC's legal interests and ensuring operational compliance in the highly regulated logistics and supply chain industry. This role operates as a strategic advisor to senior leadership, enabling legally sound decisions that align with the company’s business priorities. Beyond mitigating legal risks, the Corporate Counsel actively contributes to company growth by driving legal strategy in areas such as contract negotiation, mergers and acquisitions, compliance, and governance. This role demands a deep understanding of the logistics sector's regulatory environment, paired with the ability to translate complex legal concepts into actionable business insights. Positioned within the legal team, but closely interfacing with cross-functional leaders, the Corporate Counsel ensures Unis LLC navigates challenges pragmatically while fostering a culture of legal awareness enterprise-wide.

Responsibilities

  • 1. Provide strategic counsel on a broad spectrum of legal matters pertinent to the logistics and supply chain industry, including contracts, risk management, labor law, and regulatory compliance.
  • 2. Draft, review, and negotiate key legal documents such as contracts, service agreements, non-disclosure agreements, and internal policies, ensuring alignment with corporate objectives and legal mandates.
  • 3. Lead and oversee compliance initiatives to ensure adherence to applicable laws and regulations, proactively updating internal policies and advising teams on evolving requirements.
  • 4. Represent Unis LLC in legal proceedings, including administrative reviews, court litigations, and dispute resolution processes, while actively liaising with external legal advisors when necessary.
  • 5. Actively support mergers and acquisitions by conducting due diligence, facilitating negotiations, and ensuring seamless post-transaction integration.

Minimum Requirements

  • 1. Juris Doctor (J.D.) degree from an accredited law school and active membership in good standing with a state bar.
  • 2. A minimum of 5 years of experience in corporate legal practice, with a focus on commercial law, compliance, and/or labor law, ideally within the logistics, transportation, or supply chain sector.
  • 3. Proven ability to analyze complex legal scenarios and provide actionable, business-relevant recommendations in a timely and clear manner.

Preferred Requirements

  • 1. Experience managing legal matters related to mergers, acquisitions, and other strategic transactions, including due diligence and contract negotiations.
  • 2. Previous experience working in-house for a logistics, transportation, or supply chain-focused organization.
  • 3. Familiarity with global trade regulations and cross-border transactions in the supply chain industry.
