An elite law firm is seeking a Corporate Capital Markets Associate (2-6 years PQE) to join its Miami office . This is a high-profile opportunity to advise issuers, underwriters, and investors on complex U.S. and cross-border securities transactions , with exposure to clients across a wide range of industries.

About The Practice

The Capital Markets team is recognized for its strength in IPOs, debt offerings (high-yield and investment grade), Rule 144A/Reg S transactions, SPACs, REITs, PIPEs, and ATM programs . Associates gain hands-on experience advising public and private issuers, financial institutions, and investment funds , supported by a collaborative global platform.

Key Responsibilities

• Advise on U.S. and cross-border capital markets transactions
• Lead and manage due diligence teams across complex deals
• Draft and negotiate securities offering documents and related agreements
• Provide guidance on corporate governance and reporting obligations
• Collaborate across practice groups and mentor junior associates

Who You Are

• 2-6 years of experience in Capital Markets transactions at a leading firm
• Strong knowledge of securities law and corporate governance
• Skilled in drafting, negotiation, and deal management
• J.D. from an accredited U.S. law school; admitted (or eligible) in Florida
• Highly motivated with excellent interpersonal and communication skills

Compensation & Benefits

• Salary: $225,000 - $365,000 (DOE)
