A law firm seeks a Corporate Capital Markets Associate with 3 to 4 years of experience in securities and capital markets to join its Corporate Practice Group in Fort Lauderdale, FL.
Duties
- Prepare and review Exchange Act filings, including Forms 10-K, 10-Q, 8-K, proxy statements, and Section 16 filings.
- Represent issuers and underwriters in equity and debt offerings, including public and private securities offerings.
- Counsel public companies on disclosure obligations, corporate governance, SEC reporting, and stock exchange compliance.
- Advise boards of directors and management teams on governance and disclosure issues.
- Prepare registration statements and SEC comment letter responses.
- Support public company transactions, including mergers and acquisitions, tender offers, and strategic investments.
Requirements
- 3 to 4 years of securities and capital markets experience.
- Strong drafting, analytical, and communication skills.
- Ability to manage multiple transactions and compliance matters in a fast-paced environment.
Education
Juris Doctor degree from an ABA-accredited law school.
Certifications
Bar admission or eligibility to obtain admission promptly in the jurisdiction of the resident office location.
Skills
Experience with capital markets transactions, joint ventures, private equity investments, and general corporate matters is a plus.
