Job Overview

A well known law firm is seeking a Corporate Capital Markets Associate with 3 to 4 years of securities and capital markets experience to join its Corporate Practice Group in New York City. The position focuses on advising public companies, issuers, and underwriters on securities offerings, SEC reporting, corporate governance, and complex corporate transactions, while supporting ongoing compliance and capital markets activities.

Duties

Prepare and review SEC filings, including Forms 10-K, 10-Q, 8-K, proxy statements, and Section 16 filingsRepresent issuers and underwriters in public and private equity and debt offeringsAdvise public companies on SEC reporting, disclosure obligations, corporate governance, and stock exchange compliancePrepare registration statements and respond to SEC comment lettersCounsel boards of directors and management teams on governance and disclosure mattersSupport public company mergers and acquisitions, tender offers, strategic investments, and other corporate transactionsAssist with capital markets transactions, joint ventures, private equity investments, and general corporate matters, as applicableManage ongoing securities law compliance and transactional mattersCollaborate with clients and legal teams on sophisticated corporate transactions.

Requirements

3 to 4 years of securities and capital markets experienceExperience preparing and reviewing Exchange Act filingsExperience representing issuers and underwriters in securities offeringsExperience advising public companies on securities law compliance and corporate governanceExperience preparing registration statements and SEC comment letter responsesExperience supporting public company transactions, including mergers and acquisitions and tender offersAbility to manage multiple transactions and compliance matters in a fast-paced environmentExperience with joint ventures, private equity investments, or general corporate matters is preferred

Education and Certifications

Juris Doctor (J.D.) from an ABA-accredited law schoolActive bar admission in the resident office jurisdiction or eligibility for prompt admission
