Corporate Attorney - Venture Capital

A nationally recognized Am Law 100 firm is seeking a Venture Capital Corporate Associate to join its New York office. This is an outstanding opportunity for an attorney with emerging companies and venture capital experience to work with high-growth startups, venture-backed companies, founders, and institutional investors across all stages of the company lifecycle.

The ideal candidate will have experience representing both venture-backed companies and venture capital investors, strong transactional skills, and the ability to manage sophisticated financings while maintaining direct client relationships in a fast-paced, entrepreneurial environment.

Responsibilities

• Represent venture-backed companies from formation through growth, financing, and exit transactions.
• Advise founders, emerging growth companies, and management teams on corporate governance, capitalization, securities issuances, and general corporate matters.
• Represent venture capital funds, institutional investors, and strategic investors in connection with new investments and follow-on financings.
• Draft, review, and negotiate venture financing documents, including term sheets, SAFEs, convertible notes, preferred stock purchase agreements, investors’ rights agreements, voting agreements, and related transaction documents.
• Manage legal due diligence processes and coordinate transaction workstreams.
• Advise clients regarding corporate structure, governance, financing strategy, and securities law compliance.
• Support venture-backed companies through multiple financing rounds, from seed-stage through later-stage growth financings.
• Maintain direct client relationships and provide practical, business-oriented legal advice.
• Collaborate with attorneys across tax, intellectual property, employment, securities, and M&A practice groups.
• Manage multiple transactions simultaneously while working effectively within leanly staffed deal teams.

Qualifications

• 3–5 years of corporate transactional experience required.
• J.D. from an accredited law school required.
• Active New York Bar admission required or eligibility for admission to the New York Bar required.
• Significant experience representing venture capital investors and emerging growth companies required.
• Experience representing both company-side and investor-side clients in venture capital transactions required.
• Experience drafting and negotiating venture financing documents, including: Term Sheets, SAFEs, Convertible Notes, Preferred Stock Purchase Agreements, Investors’ Rights Agreements, Voting Agreements, Related financing documentation
• Experience advising venture-backed companies on corporate formation, governance, capitalization, securities issuances, and general corporate matters required.
• Experience representing venture capital funds and institutional investors in financing transactions required.
• Prior experience at an Am Law 50 firm or nationally recognized venture capital practice strongly preferred.
• Expected salary range: $250,000 – $365,000 per year.
• Eligibility for discretionary bonus opportunities.
