Overview

A law firm seeks a Corporate Attorney (Mid-to-Senior Associate or Junior Partner) in Norfolk, VA, to support a broad range of corporate matters. The ideal candidate will have significant experience with commercial contracts, mergers and acquisitions, or both, and will work closely with U.S. and international clients.

Responsibilities

  • Draft, review, and negotiate various commercial agreements, including customer and vendor agreements, NDAs, SaaS and licensing, services, procurement, and strategic partnerships.
  • Provide practical legal advice to cross-functional teams such as Sales, Procurement, Product, Finance, Security, and Operations.
  • Support mergers, acquisitions, and other corporate transactions, including due diligence, drafting and negotiating transaction documents, and coordinating workstreams.
  • Assist with corporate governance matters, entity management, and related filings and recordkeeping.
  • Advise on issues arising from U.S. and international business operations, collaborating with local counsel as needed.
  • Help design and improve contract templates, playbooks, and contracting processes to support scale and risk management.

Requirements

  • J.D. from an accredited law school.
  • Four or more years of relevant experience in a law firm or in-house legal department, with significant commercial contracting experience.
  • Experience supporting M&A and other corporate transactions, including diligence, drafting, negotiating, and coordinating closing workstreams.
  • Strong drafting and negotiation skills, with the ability to communicate complex legal concepts clearly to non-legal stakeholders.
  • Experience with technology, licensing, privacy, data security, and/or product counseling.
  • Sound judgment, strong ownership mindset, and ability to prioritize in a fast-paced, high-volume environment.
  • Collaborative, pragmatic, and solutions-oriented approach; comfortable partnering cross-functionally and with outside counsel.

Education

J.D. from an accredited law school.

Certifications

  • Bar admission in good standing.
