Duties
- Serve as securities and corporate governance counsel for public company clients.
- Provide practical counsel on time-sensitive matters for public company clients.
- Assist with public capital market transactions and private placement fundraising.
- Stay current on securities law and regulatory requirements.
- Represent clients in mergers, acquisitions, and business combinations.
- Draft, review, and negotiate commercial contracts and business agreements.
- Advise on entity formation, corporate governance, and business counseling.
- Mentor and collaborate with associates on securities and corporate matters.
- Manage client relationships and contribute to business development.
Requirements
- Juris Doctor degree from an accredited law school.
- 8-10 years of relevant legal experience in corporate matters.
- Substantive expertise in securities law, including 1933 and 1934 Act matters.
- Ability to produce clear, client-ready written work product.
- Sound analytical judgment and attention to detail.
- Ability to manage multiple matters and priorities independently.
- Collaborative, professional approach to working with clients and team members.
Education
- Juris Doctor degree from an accredited law school.
