Corporate Associate

About the Opportunity

We are seeking a Corporate Transactional Associate to join a corporate practice in Cranberry Township, Pennsylvania. This opportunity is ideal for an attorney with approximately 2+ years of hands-on transactional experience who wants exposure to a broad range of corporate and commercial matters.

The associate will work on matters spanning the full lifecycle of corporate transactions, from entity formation and governance through acquisitions, due diligence, closings, and commercial agreements.

Key Responsibilities

• Advise clients on entity formation and general corporate matters
• Draft and review corporate governance documents, including:
• Operating agreements
• Bylaws
• Shareholder agreements
• Assist with mergers and acquisitions and asset purchase transactions
• Conduct and manage transactional due diligence
• Prepare transaction and closing documents and assist with closings
• Draft, review, and negotiate a variety of commercial contracts
• Work closely with clients and other attorneys throughout corporate transactions

Qualifications

• Approximately 2+ years of corporate transactional experience
• Active Pennsylvania Bar license required
• Meaningful experience with corporate transactions, rather than primarily litigation work
• Experience with entity formation, governance documents, M&A, asset purchases, commercial contracts, and related transactional matters
• Strong academic and professional credentials
• Strong drafting, negotiation, organizational, and communication skills
• Ability to manage multiple transactional matters effectively

Salary and Other Compensation:

The base salary for this position is between $120,000 – $150,000 annually. Factors that may affect pay within this range include geography/market, skills, education, experience, and other qualifications of the successful candidate.
