Responsibilities

• Represent issuers and underwriters in IPOs and follow‑on public offerings for operating companies.
• Advise public companies in PIPEs, mergers and acquisitions, SEC reporting, and corporate governance matters.
• Provide day‑to‑day guidance on Securities Exchange Act of 1934 reporting and advisory services related to SEC and stock exchange compliance, public company disclosure obligations, and other business and transactional matters.

Qualifications

• 3–6 years of experience at a large law firm working on public and private debt and equity offerings.
• In‑depth knowledge of Securities Exchange Act of 1934 reporting and advisory matters.
• Licensed to practice law in the state where the position is located.
