Corporate AssociateDirect Counsel is seeking a Corporate Associate with 4–6 years of experience to join a growing corporate and securities practice in Boston or New York. This is an exceptional opportunity for an attorney seeking meaningful client interaction, early responsibility, and direct involvement with public companies, boards of directors, management teams, and in-house counsel.The ideal candidate will have significant experience with SEC reporting and public company representation, along with exposure to capital markets transactions, mergers and acquisitions, and general corporate counseling.ResponsibilitiesAdvise public and private company clients on a broad range of corporate and securities law mattersManage SEC reporting and ongoing public company compliance obligationsCounsel boards of directors, management teams, and in-house legal departments on governance and disclosure mattersSupport capital markets transactions, including public and private securities offeringsAssist with mergers, acquisitions, and other strategic corporate transactionsDraft and review securities filings, transactional documents, corporate governance materials, and related agreementsDevelop and maintain strong client relationships through direct and ongoing interactionCollaborate closely with partners and take increasing responsibility for client matters and business development initiativesQualifications4–6 years of corporate and securities law experienceSignificant experience with SEC reporting and public company representationExperience with capital markets transactions preferredExperience with mergers and acquisitions preferredStrong drafting, analytical, research, and communication skillsOutstanding academic credentialsComparable law firm experience requiredJ.D. requiredActive bar admission in the jurisdiction of the primary office requiredCompensation & BenefitsBase salary range: $285,000 – $350,000Substantial annual bonus opportunityAdditional high-performance bonus tiers based on production and resultsComprehensive benefits packageHybrid work environmentSignificant client contact and direct responsibilityBusiness development training and mentorship opportunitiesClear path toward developing and managing key client relationshipsDirect Counsel is committed to connecting exceptional legal talent with premier law firms and fostering inclusive hiring practices.
