Corporate Associate – Private Equity / Investment Management (Confidential). Location: Connecticut, Florida, Massachusetts, New Jersey, New York, Rhode Island, or Washington, D.C. Hybrid flexibility.
The Opportunity
A sophisticated, growth-oriented law firm is seeking a Corporate Associate with a strong background in private equity and investment management to join its expanding transactional practice. This role is well-suited for an attorney who enjoys complex fund work, close client interaction, and building long-term expertise in the private funds space.
Core Responsibilities
- Advise investment managers on regulatory and compliance matters
- Form and structure open-end and closed-end private funds
- Draft and negotiate fund-related documentation, including limited partnership and operating agreements
- Prepare and review private placement memoranda, subscription documents, and side letters
- Counsel on investment management and sub-advisory agreements
- Support private equity, venture capital, joint venture, and related transactional matters
- Provide ongoing guidance to sponsors and managers on operational and compliance issues
Candidate Profile
- Juris Doctor (JD) required
- 3–6 years of relevant experience at a law firm, with a focus on private funds and investment management
- Demonstrated experience drafting sophisticated fund and investment management documents
- Familiarity with adviser regulatory frameworks and compliance obligations
- Strong written, analytical, and client-facing skills
- Admitted and in good standing in the jurisdiction of practice
