Associate Attorney - Corporate Law

We are seeking a Corporate Attorney with strong Mergers & Acquisitions experience to join our Business Services practice. This role offers the opportunity to work on sophisticated M&A and corporate transactional matters for a diverse client base that includes middle-market companies, private equity sponsors, and strategic buyers and sellers. The Pittsburgh office has a robust private equity and strategic M&A practice and is looking for an attorney who can take meaningful ownership of deals while collaborating with partners and colleagues across our national and global platform.

Key Responsibilities

  • Lead and support all phases of M&A transactions, including due diligence, drafting and negotiating purchase agreements, ancillary documents, and closing deliverables
  • Handle general corporate matters such as entity formation and governance, commercial contracts, equity arrangements, and regulatory compliance
  • Manage multiple transactions and priorities in a fast-paced environment while delivering high-quality work product under tight deadlines
  • Work closely with partners and other attorneys to provide seamless client service
  • Participate in client relationship management and business development activities

Qualifications

  • J.D. from an ABA-accredited law school
  • Active membership in good standing with the Pennsylvania Bar (or eligibility and willingness to waive in)
  • Minimum of 2 years of relevant corporate transactional experience, with a strong emphasis on mergers and acquisitions
  • Excellent drafting, negotiation, analytical, and communication skills
  • Ability to work independently and as part of a team in a collaborative, client-focused environment
  • Strong organizational skills and the capacity to manage competing priorities
