Corporate Associate Attorney
A nationally recognized AmLaw 100 firm is seeking a Corporate Associate Attorney to join its Chicago office.
This opportunity is ideal for an attorney interested in advising privately held and publicly traded companies on a broad range of corporate transactions, governance matters, mergers and acquisitions, financings, and day-to-day business counseling.
Ideal Background
- 3–6 years of sophisticated corporate transactional experience gained at a law firm
- Experience representing public and private companies, founders, investors, lenders, and private equity sponsors
- Experience handling mergers and acquisitions, corporate restructurings, entity formations, reorganizations, and strategic business transactions
- Experience drafting and negotiating asset purchase agreements, stock purchase agreements, merger agreements, operating agreements, shareholder agreements, and other corporate transaction documents
- Experience advising clients on corporate governance, entity management, board matters, and general corporate compliance
- Experience conducting legal due diligence and managing transaction closings
- Experience with commercial contracts, financing transactions, securities matters, or private equity transactions is a plus
- Strong drafting, negotiation, analytical, and client counseling skills
- Ability to independently manage sophisticated transactions while maintaining significant client interaction
- Excellent academic credentials
- J.D. from an ABA-accredited law school required
- Illinois bar admission required or ability to become admitted
