A law firm seeks an experienced Corporate and Securities Counsel to join its team in Durham, NC. The role involves representing large Nasdaq and NYSE-listed public company clients across various industries, focusing on complex securities, corporate governance, capital markets, and regulatory matters.
Duties
- Advise public companies on Securities Act of 1933 and Securities Exchange Act of 1934 matters.
- Handle securities offerings and capital markets transactions.
- Manage periodic reporting on Forms 10-K, 10-Q, and 8-K.
- Oversee proxy statements and annual shareholder meeting matters.
- Ensure compliance with Section 16 reporting and beneficial ownership.
- Provide corporate governance and board advisory services.
Requirements
- 8+ years of corporate and securities experience.
- Experience at a large law firm, in-house legal department, or SEC preferred.
- Substantial experience advising public companies.
- Excellent academic credentials and strong analytical skills.
- Outstanding written and oral communication skills.
- Licensed to practice law in the relevant jurisdiction or eligible for licensing.
Education
Juris Doctor (JD) degree required.
Certifications
Bar admission in the relevant jurisdiction.
