Job Overview
Contracts Manager – Remote, United States (must reside and work in the U.S.).
Oversee life‑cycle contract management for a variety of business agreements, including prime contracts, subcontracts, licenses, teaming agreements, master services agreements, and non‑disclosure agreements. Work closely with Program and Finance teams to secure approval prior to execution and ensure compliance with corporate policies and regulatory requirements.
Responsibilities
- Provide life‑cycle contract management for all business agreements, maintaining a detailed tracking log of all in‑process and completed contract reviews and signings.
- Review, draft, research, process, compare, and negotiate contracts, amendments, modifications, renewals, NDAs, licenses, teaming agreements, statements of work, and other legal documents.
- Provide standard language and process uniformity to limit risk and support day‑to‑day advice and counseling to leadership on contracting and legal matters.
- Act as a resource for general contract and business rules, application of standard terms and conditions, and interpretation of clauses.
- Collaborate with legal and corporate services in areas such as corporate policies, insurance, tax, corporate registrations, ethics, disclosures, filings, and purchasing.
- Deliver quality and timely work product to satisfy all internal and external client contract requirements.
- Build relationships across leadership and program teams to provide valuable contract‑related services.
- Complete RFP submissions, responses, corporate requirements, diligence reviews, and draft exceptions to terms and conditions.
- Summarize, complete, and assist with HUB/MBE good‑faith documentation and submission requirements.
- Detail, train, and assist resources from Program, Content, and Finance on RFP requirements and compliance.
- Review RFPs and Q&A documents and prepare summaries of background information and RFP highlights concerning contract terms and conditions.
- Manage writing, editing, and proofreading of proposal text with respect to contract terms, subcontractor requirements, and required corporate submissions such as registrations, certifications, and insurance.
- Coordinate and manage proposal text with input from various teams.
- Monitor, edit, and complete corporate registration, bonding, insurance, and other compliance requirements to maintain good standing for bidding on RFPs.
- Provide counsel around bid and proposal requirements, compliance, and response.
- Meet all deadlines for internal and external responses.
- Complete contract‑related projects such as researching and summarizing provisions related to liquidated damages, breach reporting, assignment requirements, force majeure, and other contract topics.
Qualifications
- Minimum bachelor’s degree required; master’s degree, legal, or paralegal qualification preferred.
- 3‑5 years of experience in state or federal contracts management, including contract review and drafting, and review and submission of state or federal proposals.
- Strong knowledge of contract law, RFP processes, and corporate compliance requirements.
- Excellent communication and organizational skills.
