Commercial Counsel – US
New York preferred | Remote candidates elsewhere in the US considered
Heriot Brown is working with a fast-growing software business to recruit its second in-house legal hire. The company has around 200 employees globally, including a growing US team, and needs a commercial lawyer to take ownership of its US contracting work.
The role
You’ll work closely with the sales team and the business’s first in-house lawyer, who is based in the UK. Your work will include:
- Drafting and negotiating software and SaaS agreements with mid-market and large enterprise customers
- Advising on commercial issues arising from US sales activity
- Supporting matters involving AI, data and privacy
- Helping develop practical contracting processes as the US business grows
About you
We’re looking for a lawyer with approximately two or more years’ experience who has:
- Strong commercial contracting experience, ideally involving software or SaaS
- The confidence to lead negotiations and advise stakeholders independently
- A practical approach to managing risk in a growing business
- An interest in working across AI, data and wider commercial matters
This is a chance to have real ownership of the US legal workload as the second person in a growing legal team.
The preference is for someone based in New York , where the business typically works three days a week in the office. Strong candidates elsewhere in the US will also be considered for a remote arrangement.
