Commercial Transaction/SBA Attorney

Job Overview

A law firm seeks a full-time, highly motivated associate attorney in Woodbury, MN. The attorney will be a key member of the transaction team, focusing primarily on U.S. Small Business Administration (SBA) lending transactions. The successful candidate will independently manage and close SBA 7(a) and 504 loan transactions, advising lenders on SBA eligibility, compliance, collateral, and closing requirements.

Duties

• Manage and close SBA 7(a) and 504 loan transactions.
• Advise lenders on SBA eligibility, compliance, and collateral requirements.
• Draft and negotiate loan documentation.
• Review title work, surveys, and UCC/lien searches.
• Review lease and related agreements.
• Review purchase and sale documentation.
• Review franchise documentation and conduct due diligence.

Requirements

• Minimum of five years of commercial and SBA lending experience.
• Experience with 7(a) and 504 loan closings.
• Strong understanding of SBA SOP requirements and closing procedures.
• Detail-oriented with excellent written and verbal communication skills.
• Ability to thrive in a fast-paced environment.

Education

• Degree from an accredited law school.

Certifications

• Active licensure in at least one U.S. jurisdiction.
