Commercial Counsel

• Review, draft, and negotiate complex commercial agreements, including software licenses/SaaS, marketing, main service agreements, Statements of Work, professional services, and data privacy agreements
• Identify and mitigate legal and regulatory risks related to data and privacy protection, security, and AI
• Assess legal risks and provide practical guidance on risk management, policy compliance, and contractual obligations
• Build collaborative relationships with security, privacy, procurement, finance, senior leadership, and other strategic business partners
• Undertake special projects and support new business initiatives
• Use AI tools to improve legal service delivery, efficiency, quality, and business support while validating AI-generated work with sound legal judgment
• Stay current on laws, regulations, and industry trends impacting commercial contracts
• Collaborate with cross-functional leadership on deals shaping eBay's global e-commerce strategy

Requirements

• J.D. degree from an ABA accredited law school (or foreign equivalent)
• In good standing with a US state bar
• 6+ years of negotiating and drafting expertise in sophisticated commercial transactions, including software licenses/SaaS, main service agreements, Statements of Work, professional services, and data privacy agreements
• Some travel required
• Proficient and comfortable using AI tools with a critical eye
• Experience drafting and negotiating commercial transactions in an in-house setting
• Ability to translate legal complexity into clear, actionable business guidance
• Strong interest in AI, automation, and legal operations transformation
• Ability to balance legal risk with business objectives
