We are currently seeking a Commercial Counsel for a prominent client of ours. This position is fully remote. Details for the position are as follows:
Job Description:
- Pay: $80 - 85.71/hr (W2)
- 6 - 12-month assignment with potential for extension based on performance and business need
- You will provide legal guidance and support on routine commercial and transactional matters
- Draft, review, edit, finalize, and negotiate a variety of commercial agreements, including sales/supply, reseller/distribution, EULA, professional services, hosting, SaaS/subscription agreements, and SOWs
- Support technology-related agreements, including telecom, maintenance, consulting, outsourcing, and other technology contracts
- Prepare ad support responses to state and local government RFPs
- Develop negotiation strategies, evaluate legal and business risks, and provide recommendations to internal business partners
- Manage contract documentation and approval processes while ensuring compliance with company policies and applicable laws/regulations
- Assist with contract disputes, including researching issues, providing legal guidance, and drafting settlement agreements
Qualifications:
- Juris Doctor (JD) degree required
- 4+ years of corporate transactional, contract negotiation, and/or commercial transaction experience
- Active admission to the Bar in at least one US state
- Experience with technology-related legal matters, preferably including software licensing, SaaS/subscription, hosted environments, telecom, government contracts, and/or intellectual property
- Experience reviewing and responding to government RFPs
- Experience supporting direct sales opportunities and negotiating technology products/services agreements
