On behalf of a highly innovative, commercial-stage clean tech business, a confidential executive search is underway to identify a transaction-fluent Chief Financial Officer (CFO) .

The company is commercializing breakthrough technology and is entering commercial production at its regional processing facility.

To fund its massive commercial scale-up, the organization is currently preparing an institutional Series B equity raise paired with a parallel commercial debt facility .

The Mandate

This is a heavily deal-oriented, strategic role. The CFO will act as a close operational partner to the CEO, taking absolute ownership of capital formation, corporate development, and representing the company to institutional markets, project financiers, and federal agencies.

Key Responsibilities

  • Capital Formation: Lead the end-to-end execution of the upcoming Series B equity round, including positioning, investor outreach, due diligence, and term sheet negotiation.
  • Structured Debt: Lead the negotiation, structuring, and closing of the parallel commercial debt facility.
  • Strategic Transactions: Evaluate and execute high-value strategic transactions, including joint ventures, project-level investments, and commodity-linked offtake/prepayment structures.
  • Government Funding: Drive strategy for securing non-dilutive federal funding, grants, and federal loan programs.
  • Institutional Leadership: Oversee the finance organization. A highly capable Corporate Controller directly manages the core accounting, audit, tax, and compliance functions, allowing the CFO to focus on high-level capitalization and strategy.

The Ideal Profile

  • Established Experience: A proven track record as a CFO or senior finance executive in a growth-stage, project-driven, or capital-intensive environment.
  • Principal-Side Deal Sheet: A clear history of leading and closing institutional equity rounds, project finance, or structured debt transactions from origination through to close.
  • Transaction Fluency: Deeply comfortable navigating term sheets, credit agreements, intercreditor arrangements, and offtake contracts directly alongside legal counsel.
  • Heavy Industrial Exposure: Experience in capital-intensive sectors such as energy, mining, chemicals, infrastructure, or the battery supply chain.
  • Background: Prior experience in investment banking, private equity, or project finance prior to operating roles is strongly preferred. MBA or CFA is highly regarded.
