Capital Markets / Public Securities Associate AttorneyLocation: Palo Alto, CADirect Counsel is seeking a Capital Markets / Public Securities Associate to join a top-tier national law firm with an internationally recognized corporate practice.This role is ideal for an associate with 3–5 years of experience advising on capital markets and public securities matters, particularly in connection with high-growth and innovative companies.Responsibilities:Represent issuers and underwriters in public securities offerings, including IPOs, follow-on offerings, and other equity and equity-linked transactionsAdvise public companies on SEC reporting, exchange compliance, and corporate governance mattersManage day-to-day workflow and client needs for sophisticated, fast-paced mattersBuild and maintain strong client relationships while collaborating with cross-functional deal teamsQualifications:3–5 years of capital markets and public securities experience at a national or international law firmExperience representing companies and/or underwriters in public offeringsFamiliarity with clients in the technology, consumer/retail, and life sciences sectors is strongly preferredStrong academic credentials from a nationally recognized law schoolJD required; California Bar admission (or eligibility) preferredCompensation & Benefits:Expected annual compensation range: $260,000–$365,000 (final offer dependent on location, experience, and skillset)Comprehensive benefits package including medical, dental, vision, HSA/FSA options, life and disability insuranceGenerous parental leave, fertility benefits, and backup care programsFour weeks of vacation, two weeks of sick time, and 10 paid holidays annuallyThis is an excellent opportunity to join a highly regarded corporate platform offering sophisticated work, strong mentorship, and long-term career growth.
