Capital Markets AssociateDirect Counsel is seeking a Capital Markets Associate with 4–6 years of securities and capital markets experience to join a premier corporate practice representing issuers, private equity sponsors, portfolio companies, and underwriters in sophisticated capital markets transactions.This is an exceptional opportunity for attorneys interested in advising clients on high-profile securities offerings and strategic capital-raising transactions across a broad range of industries. The ideal candidate will have strong transactional experience, outstanding academic credentials, and a desire to work on complex domestic and international capital markets matters.ResponsibilitiesAdvise issuers, private equity sponsors, portfolio companies, and underwriters in securities offerings and capital markets transactionsDraft and negotiate offering documents, registration statements, disclosure documents, and transaction agreementsSupport public and private debt and equity offerings, including IPOs, follow-on offerings, and other securities transactionsAssist clients with securities law compliance, disclosure obligations, and corporate governance mattersConduct legal due diligence and coordinate transaction execution across multidisciplinary deal teamsWork closely with clients, investment banks, underwriters, and other transaction participants throughout the deal processCollaborate with attorneys across private equity, M&A, finance, tax, and executive compensation practicesQualifications4–6 years of securities-related and/or capital markets transactional experienceExperience representing issuers, sponsors, underwriters, or investors in sophisticated securities transactionsStrong understanding of federal securities laws, public company disclosure requirements, and capital markets practicesExcellent drafting, negotiation, analytical, and project management skillsOutstanding academic credentials and attention to detailAbility to manage multiple complex transactions in a fast-paced environmentCompensation & BenefitsBase salary range: $310,000 – $390,000Competitive bonus opportunitiesComprehensive health and wellness benefitsRetirement and savings plan optionsOpportunity to work on sophisticated capital markets transactions alongside leading corporate and securities attorneysThis opportunity offers exposure to market-leading securities offerings, complex capital markets transactions, and high-profile clients across a wide range of industries while providing exceptional training, mentorship, and long-term career development.Qualified candidates are encouraged to apply through Direct Counsel.
