This is an exceptional opportunity for an attorney with 2-5 years of capital markets experience to join a nationally recognized Capital Markets practice. The team advises innovative technology and life sciences companies throughout their lifecycle-from initial public offerings to ongoing public company compliance-and represents leading investment banks, venture capital funds, and institutional investors in sophisticated equity and debt capital markets transactions.
Responsibilities
- Represent issuers, investment banks, venture capital funds, and institutional investors in public equity and debt securities offerings.
- Advise emerging growth and public companies on capital raising transactions, including initial public offerings (IPOs), follow-on offerings, convertible debt offerings, and other equity and debt financings.
- Draft and review registration statements, offering documents, underwriting agreements, purchase agreements, and other transaction-related documents.
- Counsel public companies on ongoing securities law compliance, SEC reporting obligations, disclosure requirements, and corporate governance matters.
- Conduct legal due diligence and assist with transaction structuring, negotiations, execution, and closings.
- Collaborate with multidisciplinary legal teams on sophisticated capital markets and corporate transactions.
- Build and maintain strong client relationships while providing practical, business-focused legal advice.
- Manage multiple complex transactions in a collaborative, fast-paced environment.
- J.D. from an ABA-accredited law school.
- Active membership in the state bar of the office where the attorney will be located.
- 2-5 years of capital markets experience at a major law firm.
- Significant experience representing issuers, underwriters, investment banks, or institutional investors in public equity and debt securities offerings.
- Experience advising public companies on securities law compliance, SEC reporting, and corporate governance matters is preferred.
- Strong drafting, analytical, negotiation, organizational, and communication skills.
- Excellent academic credentials.
- Outstanding interpersonal skills with a client-focused, entrepreneurial mindset.
- Ability to thrive in a collaborative, fast-paced environment while managing multiple sophisticated transactions.
- Salary: $235,000-$365,000, commensurate with experience and qualifications.
