Position: Private Investment Funds Associate
Location: preferred New York, Chicago, Washington, D.C.
Level: Junior and Senior
Overview:
A top-tier Am Law firm is seeking a highly skilled Private Investment Funds Associate to join its Investment Funds practice. The ideal candidate will have strong experience advising private fund managers and representing private investment funds across all stages of operations.
Key Responsibilities:

• Advise clients on the formation and structuring of private investment funds, including private equity, real estate, venture capital, credit, and hybrid funds
• Handle regulatory matters related to fund management and operations
• Draft and review private offering materials and related documentation
• Provide counsel on Small Business Investment Company (SBIC) licensing and compliance issues
• Support clients with investor onboarding, due diligence, and fund governance matters

Qualifications:

• J.D. from an accredited law school
• Admission to the bar in the jurisdiction of your preferred office location
• 1-6 years of relevant experience at a peer firm or in-house fund counsel role
• Demonstrated expertise in fund formation, regulatory compliance, and investor-side negotiations
• Experience with SBIC licensing is preferred but not required
• Strong drafting, analytical, and interpersonal skills
