Job OverviewA law firm seeks an experienced Mergers and Acquisitions and Corporate Attorney in Richmond, VA. This role offers the opportunity to engage in sophisticated transactions within a collaborative, client-focused environment. The attorney will advise business owners, investors, and organizations across various industries on complex mergers, acquisitions, divestitures, and strategic transactions, as well as general corporate and governance matters.

Duties

• Support mergers, acquisitions, asset purchases, and stock transactions from due diligence through closing.
• Draft, review, and negotiate purchase agreements, ancillary transaction documents, and related commercial contracts.
• Conduct and manage legal due diligence and coordinate with internal and external stakeholders.
• Advise clients on corporate governance, entity formation, restructuring, and succession planning.
• Assist with post-closing matters and ongoing corporate compliance.
• Provide practical, business-oriented legal advice tailored to client objectives.

Requirements

• J.D. from an accredited law school.
• Active license to practice law in Virginia.
• 7+ years of experience in mergers and acquisitions and corporate transactions.
• Experience representing clients in mergers and acquisitions and related corporate transactional matters.
• Strong drafting, analytical, and problem-solving skills.
• Ability to manage multiple matters in a fast-paced environment while maintaining attention to detail.
• Excellent written and verbal communication skills and a collaborative approach to client service.

Education

• J.D. from an accredited law school.

Certifications

• Active license to practice law in Virginia.
