Overview
A law firm seeks a team-oriented Associate to join their Business group specializing in Venture Capital in Chicago, IL. The ideal candidate will have 3-4 years of experience in venture capital work and a strong background in corporate practice.
Responsibilities
- Draft, review, and negotiate venture financing documents, including term sheets and stock purchase agreements.
- Advise early-stage companies and investors on corporate governance and securities compliance.
- Oversee equity compensation programs, including option grants and employee stock purchase plans.
- Support due diligence for new investments and follow-on financings.
- Manage cap tables, equity issuances, and stockholder communications using tools like Carta.
- Collaborate with senior partners, investment teams, and company executives.
- Stay current on venture capital market trends and corporate law developments.
Qualifications
- 3-4 years of experience in venture capital work.
- Familiarity with standard NVCA documents and market precedence.
Education & Certifications
- Juris Doctor (JD) degree required.
- Bar admission in Illinois or eligibility to waive in.
