Hybrid Contract Corporate Law

The Medical College of Wisconsin (“MCW”), a private, not-for-profit health university which includes one of the largest medical schools in the United States along with one of the largest faculty practices, is seeking an experienced health care attorney to serve as their next Associate General Counsel.

This role will provide high-level legal support through advising and guiding MCW on complex research matters as well as contractual and business arrangements with its clinical partners, including Froedtert ThedaCare Health, Children’s Wisconsin, and the Zablocki VA. Independent judgment/initiative required. Key responsibilities and priorities include:

Responsibilities

  • Provide legal advice on research issues relating to clinical trials, compliance with federal research regulations and guidelines, data sharing, HIPAA privacy and security issues, bioethics, human and animal subject protections, industry collaborations, and scientific misconduct. Have an understanding of global laws impacting research operations, such as GDPR and export control laws.
  • Review, draft, and negotiate a variety of contract and business matters relating to transactions with clinical partners, including professional service agreements, medical director contracts, and related clinical affiliation agreements. Must have knowledge of fraud and abuse laws and billing and reimbursement.
  • Provide legal support to the Purchasing/Procurement office. Advise on matters relating to insurance, indemnification and limitation of liability.
  • Advise philanthropy operation on matters relating to charitable giving, sponsorship, building naming agreements or other philanthropic specific agreements;
  • Provide legal advice on intellectual property matters including trademark, copyright, trade secrets and possible infringement. Serve as resource on brand and marketing matters.
  • Perform other duties and responsibilities as assigned.

Requirements

  • Education: Advanced Degree: J.D. or LL.M from an accredited law school.
  • Experience: 10 years of relevant experience, with a strong background in healthcare, education and academic medical centers.
  • Licenses/Certifications: Member of the Wisconsin Bar, or the ability to obtain in-house counsel designation.
  • Location: Milwaukee, Wisconsin, with hybrid in-office work schedule permitted.
