Job Description

The Associate General Counsel, Transactions, will be an integral part of a team of attorneys advising AbbVie’s Business Development and Acquisitions team, along with other key corporate functions.

Among other responsibilities, the attorney will draft and negotiate key transaction agreements, including mergers, acquisitions, licenses and collaborations and options to license and acquire, provide clear legal advice on these matters, and anticipate and address issues promptly with a cross‑functional client base.

Responsibilities

  • Identify and resolve highly complex legal issues and draft and negotiate highly complex corporate transactions.
  • Manage M&A and pharmaceutical licensing and collaboration/joint venture transactions.
  • Negotiate highly individualized and sophisticated agreements independently with third parties on matters of strategic importance.
  • Engage in due diligence, interpret complex existing agreements, and advise on related transactions.
  • Keep abreast of changes in laws affecting pharmaceutical licensing, M&A, antitrust/competition, and other corporate and IP matters.
  • Select and direct the work of outside counsel, define project objectives, and manage projects.
  • Maintain compliance with applicable corporate and divisional policies and procedures.
  • Analyze and communicate legal advice to maximize outcomes for patients and AbbVie for pharmaceutical licenses, collaborations, and strategic alliances.
  • Assess antitrust and competition risks and filing considerations in multiple jurisdictions.
  • Provide clear advice to clients, including management, to maximize pipeline potential.
  • Use judgment to determine when to elevate issues to senior attorneys and management.
  • Assist senior legal staff on matters of significant importance to AbbVie.
  • Serve as a recognized source of innovative ideas in complex law, business, or technology areas.
  • Provide legal guidance, supervision, and support to paralegals and legal support staff.

Qualifications

  • Must meet the professional licensing requirement of the state in which they practice within a two‑year time period.
  • Excellent legal analysis skills and concise communication.
  • Honed judgment and ability to identify and quickly address critical issues.
  • Strong negotiating skills and ability to independently manage complex transactions.
  • Ability to use legal training to maximize business opportunities.
  • Strong sense of urgency and drive for successful business outcomes.
  • 15+ years of relevant transactional and/or industry experience.
  • Experience advising on ongoing complex contractual relationships such as development collaborations.
  • Preferred: Experience drafting and negotiating complex pharmaceutical licensing and collaboration transactions.
  • Preferred: Experience providing legal advice for pharmaceutical research and development.

The compensation range described below is the range of possible base pay compensation that the Company believes in good faith it will pay for this role at the time of this posting based on the job grade for this position. Individual compensation paid within this range will depend on many factors including geographic location, and the Company may ultimately pay more or less than the posted range. This range may be modified in the future.
