Associate General CounselThe Associate GC partners closely with the General Counsel to manage legal risk and oversee litigation matters across Cotton Holdings and its affiliated entities. This role is responsible for handling complex legal issues including active litigation management, dispute resolution, contract review and negotiation, regulatory compliance, corporate governance, and risk mitigation. The Associate GC collaborates with senior leadership, outside counsel, and internal business units to protect the company's legal interests while supporting operational and growth objectives. This position plays a critical role in developing litigation strategy, ensuring compliance across multi-entity operations, and maintaining strong documentation and legal process standards.

The ideal candidate brings strong construction/restoration industry awareness, experience managing outside counsel, and the ability to balance strategic legal guidance with practical business solutions in a fast-paced, high-growth environment.What You'll DoLegal Advisory & SupportProvide legal counsel to internal stakeholders on a wide range of operational, regulatory, and corporate issuesReview, draft, and negotiate complex contracts, including client agreements, vendor contracts, NDAs, service agreements, and licensing documentsSupport the General Counsel in managing corporate governance practices, legal policies, and compliance frameworksConduct legal research, interpret statutes and regulations, and provide guidance on the impact of legal changes on Cotton operationsAssist with mergers, acquisitions, corporate transactions, and related due diligence tasksLitigation ManagementOversee litigation matters handled by outside counsel, including strategy, filings, discovery, and settlement discussionsSupport internal teams in collecting information, responding to subpoenas, and preparing legal documentationReview budgets, invoices, and performance of outside counsel and other legal vendorsCompliance & Risk SupportSupport company-wide compliance efforts, including licensing, regulatory filings, documentation, and auditsWork collaboratively with the Risk Department on matters involving insurance, liability, risk exposure, and regulatory complianceEnsure legal risk assessments are integrated into major business initiativesWhat You Bring to the TableMinimum of 7–10 years of legal experience, including significant in-house counsel experience preferredStrong background in commercial contracting, corporate governance, and regulatory mattersExperience managing litigation or coordinating with outside counselExperience supervising legal staff or leading operational processes within a legal function is preferredExperience in construction, restoration, industrial services, or related industries is beneficialStrong legal drafting, negotiation, and analytical skillsAbility to identify risks, interpret complex regulations, and provide sound legal adviceAbility to manage multiple priorities and deadlines in a fast-paced environmentExcellent communication and interpersonal skills, including the ability to explain legal concepts to non-lawyersProficiency with legal technology, contract management systems, and Microsoft OfficeStrong organizational and decision-making abilitiesEducation:Juris Doctor (JD) from an accredited law school requiredActive license to practice law in TexasLicensed to practice in Texas or ability to become licensed within a defined timeframeWhy Join Cotton?Impactful Work: Make a difference by helping businesses prepare for and recover from disasters.Collaborative Culture: Work alongside passionate, talented professionals in a fast-paced environment.Career Growth: Expand your skills and grow within a dynamic, industry-leading company.Competitive Compensation & Benefits: Enjoy a strong benefits package, including healthcare, retirement plans, and more.Our ValuesAt Cotton, we value Action Orientation, Collaboration, and Accountability.
