Reporting to the firm’s General Counsel, you will provide broad legal support across the firm’s operations and work closely with the Chief Compliance Officer on regulatory and compliance issues. This role will focus primarily on supporting the firm’s expanding private investment funds complex, while also advising on risk management, corporate and fund governance, financing and investment transactions, commercial and technology agreements, data privacy and cybersecurity, employment and human resources, and other legal and compliance needs across the firm.

  • J.D. from an accredited law school
  • 4–10 years of experience practicing law at a law firm and/or as in-house counsel to an investment adviser
  • Significant experience with the formation, structuring and review of private funds, including buyout, venture capital, private credit and hedge funds, and related fund documentation, including LPAs, subscription documents, PPMs, side letters and secondary transaction agreements
  • Ability to draft, review and negotiate purchase agreements, financing documents, stockholder agreements and other investor rights agreements
  • Strong working knowledge of the Investment Advisers Act and Investment Company Act, with the ability to translate regulatory requirements into practical policies, procedures and business solutions
  • Experience with RIA compliance programs, including compliance policies and procedures, codes of ethics and personal trading, the Marketing Rule, books and records, annual reviews and testing, compliance technology platforms (including electronic communications and personal trading monitoring), and SEC examination support
  • Experience preparing and reviewing regulatory filings, including Form ADV, Form PF, Form 13F and Form U4/U5
  • Ability to participate in operational due diligence of investment managers, including review and assessment of fund structures, governance, regulatory and compliance matters, service providers, operational controls and other legal and operational risks
  • Familiarity with custody, administration and brokerage agreements
  • Understanding of employee equity compensation plans, profits interests, and employment, consulting and severance agreements
  • Demonstrated ability to leverage AI and other emerging technologies to enhance the efficiency and effectiveness of legal and compliance functions
  • Driven and proactive, with intellectual curiosity and a strong interest in financial markets and the investment management industry
  • Ability to work effectively in a fast-paced environment and manage multiple priorities
  • Strong interpersonal skills and the ability to develop trusted relationships across the firm
  • Sound judgment and ability to provide practical, business-oriented legal and compliance guidance while maintaining appropriate regulatory standards
