Associate Director, Governance (Direct Hire)

About the Opportunity
NRI Legal Resources is partnering with a respected national non profit organization to identify an experienced Associate Director, Governance. This is an outstanding opportunity for a governance professional who thrives in a collaborative, mission-driven environment and has experience supporting executive leadership, boards of directors, or trustees.
The Associate Director, Governance will play a critical role in ensuring effective governance operations by managing board activities, coordinating governance processes, and serving as the primary liaison between board members and executive leadership.
Key Responsibilities
- Lead the planning, coordination, and execution of Board of Trustees and committee meetings, including both in-person and virtual meetings.
- Serve as the primary point of contact for board members, officers, committee chairs, and executive administrative staff.
- Prepare, edit, and distribute board agendas, meeting materials, resolutions, briefing documents, and governance communications.
- Draft, maintain, and organize board and committee meeting minutes and official governance records.
- Administer and maintain the organization's board management platform and governance systems.
- Coordinate annual board recruitment, officer elections, committee appointments, and on boarding activities.
- Track governance metrics and prepare reports for leadership.
- Manage governance-related documentation and digital content.
- Coordinate meeting logistics, travel arrangements, technology, and vendor support for board meetings.
- Identify opportunities to improve governance processes and operational efficiencies.
- Lead governance-related special projects and support additional initiatives as assigned.
Qualifications
- Bachelor's degree in Business, Communications, Public Administration, Liberal Arts, or a related field (or equivalent professional experience).
- 5-7 years of progressive experience supporting governance, board relations, executive operations, nonprofit administration, association management, or a related function.
- Experience working directly with boards of directors, trustees, executive leadership, or board committees.
- Exceptional written communication, editing, proofreading, and presentation skills.
- Strong organizational and project management abilities with exceptional attention to detail.
- Advanced proficiency in Microsoft Office Suite and Adobe Acrobat.
- Experience using Zoom and Zoom Webinar platforms.
- Experience with BoardEffect, Diligent, or similar board management software is preferred.
- Knowledge of nonprofit governance practices and parliamentary procedure is a plus.
Work Environment
- Hybrid work schedule based in Washington, DC.
- Approximately 10% travel.
- Occasional evening and weekend availability to support board meetings and governance activities.
- Ability to lift up to 25 pounds of meeting materials or luggage as needed.
