Associate General Counsel, Sales/Commercial Transactions

At Zelis, the Associate General Counsel, Sales/Commercial Transactions will provide legal support and advice to the Zelis Sales and Client Management team. The role involves drafting, reviewing, negotiating, and finalizing agreements with clients (health plans, third‑party administrators, and self‑insured plans) and strategic partnerships. Counsel will also advise on regulatory matters affecting sales transactions, including federal and state health insurance regulation, ERISA, HIPAA, and TCPA.

Responsibilities

  • Act as key legal advisor for sales transactions and client‑management matters.
  • Draft, review, negotiate, and execute a variety of sales contracts, including Business Associate Agreements, Master Service Agreements, Statements of Work, Amendments, Referral Agreements, and Reseller Agreements.
  • Analyze and advise on contractual matters and issues.
  • Collaborate cross‑functionally with stakeholders on compliance, information security, employment, and operations issues.
  • Support Sales Legal Team in process improvement initiatives such as contract template management and playbook development.
  • Advise on and manage the resolution of client‑management matters.
  • Conduct legal research and analysis on relevant issues.
  • Work jointly with paralegals on transactional projects.
  • Interpret laws, rulings, and regulations applicable to Zelis Sales.
  • Ensure compliance with applicable laws and regulations (HIPAA, ERISA, TCPA).
  • Prioritize workload to meet Sales timing objectives.

Qualifications and Experience

  • J.D. degree from an accredited law school and admission to practice.
  • At least 5 years of legal experience in commercial and technology transactions; experience with a healthcare technology company preferred.
  • In‑house experience preferred.
  • Superior legal drafting skills with a wide range of commercial contracts and corporate documents.
  • Experience working with sales teams to prioritize and close transactions.
  • Ability to work decisively in a fast‑paced, high‑activity environment; manage multiple deals simultaneously.
  • Strong collaborative team player with a positive attitude.

Location and Workplace Flexibility

Zelis is headquartered in the U.S. with multiple locations, including Hyderabad, India. The role is hybrid; in‑office presence is guided by team needs and may differ by location. Candidates within approximately 50 miles of a U.S. office are generally preferred for collaboration.

Base Salary Range

$153,000.00 – $193,800.00 per year.
