Associate Corporate Counsel — Licensing & Transactions
We are looking for our first dedicated transactional lawyer to lead the legal side of our partnering activity, from early evaluation studies through to multi-compound license and collaboration agreements with global pharmaceutical companies. The chosen candidate will be responsible for the legal architecture of our deals and work closely with our in-house IP Counsel. You will also be responsible for contract management across the company. This is a broad, hands-on role with significant scope, and room to build and lead the legal function as Vivtex grows.
Key Responsibilities
- Structure, draft and negotiate license, collaboration and research agreements with pharmaceutical and biotechnology partners.
- Lead the non-financial aspects of term sheets and definitive agreements, in close partnership with our IP Counsel.
- Handle the confidentiality, material transfer and evaluation agreements that begin most partner relationships, and keep them moving quickly.
- Manage relationship with external legal counsel on all deal related transaction where needed.
- Negotiate vendor, CRO and service agreements.
- Own contract management, including our templates and the tracking of obligations under executed agreements.
- Advise the CEO and executive team on transaction risk and alternatives, and manage outside counsel where needed.
Qualifications and Skills
- Education: A JD and admission in good standing in any US jurisdiction — Massachusetts admission is not required.
- Experience: Eight or more years of post-qualification experience. A strong track record in pharmaceutical or biotechnology licensing and collaboration transactions, in private practice and in industry.
- Scientific Excellence: A scientific background, or genuine interest in the science, is a plus.
- Industry Knowledge: Deep understanding of relevant market dynamics, industry trends, and the competitive landscape within the global market.
- Skills: Excellent drafting and negotiation skills, and comfort with the intellectual property provisions that sit at the center of these deals.
- Mindset: Sound commercial judgment, and the pragmatism to move at the pace of a growing company. Willingness to work across the full range, from routine agreements to the most complex transactions.
- Communication: Outstanding communication skills and experience in collaborating within cross-functional teams and influencing stakeholders at all levels.
- Technical Proficiency: Proficiency in Microsoft Office Suite. Proven experience ins using and maintaining a CLM system.
Location and Compensation
- Location: Office based in Cambridge, MA, USA (hybrid work model). Occasional travel to the Zurich, Switzerland office.
