Heelstone has partnered with Qualitas Energy to fund its development platform as it continues to grow into a world-class Independent Power Producer.Position SummaryThe Associate Corporate Counsel will support Heelstone's project development pipeline from site acquisition to construction. They will provide expertise in corporate formation documents, contract drafting and negotiation, and overflow support to the entire legal team. This full-time, onsite position reports to the Chief Legal Officer and is located in Durham, NC.ResponsibilitiesDraft, review, and negotiate a wide variety of agreements, including but not limited to power purchase agreements, EPC-related agreements, master service agreements, non-disclosure agreements, M&A transactions (including due diligence), etc.Provide expertise in organizational formation documents and manage related processes.Assist in project finance-related transactions (i.e., ancillary supporting documents, Know-Your-Customer diligence, etc.)Ensure quality, clarity, and consistency across legal documents.Contribute to the development and improvement of contract templates and internal processes.Skills and Personal QualitiesPossess effective time management, project management, dispute resolution, and interpersonal skills.Excellent written and oral communication skills.Ability to effectively communicate with individuals at all different levels in a transaction in a respectful and professional manner.Team player who can integrate well with a small and high-performing team.Comfortable engaging in commercial negotiations and drafting.Ability to work independently with minimal supervision.Education/Professional ExperienceJD from an accredited law school.Current license to practice law.Minimum 1-3 years' experience.
