ASSOCIATE ATTORNEY - CORPORATE & COMMERCIAL | GREENWICH, CT

Work Arrangement: Hybrid - 4 days in office / 1 day remote (Monday-Thursday in office)
Schedule: Monday-Friday, 9:00 AM-5:00 PM ET
Salary: Up to $180K base , depending on experience
Bonus: Discretionary bonus; 20-40% bonus opportunity
Experience: 2-3+ years of corporate/transactional legal experience required
Important: Must be willing to commute to the Greenwich office . No litigation experience needed.
POSITION OVERVIEW
This is a newly created in-house legal position with an international commodities trading company. The ideal attorney is a smart, curious legal generalist who can learn the business, understand the company's operations, identify potential issues, and work with the appropriate legal experts when needed.
You'll have broad exposure across corporate governance, entity management, commercial contracts, M&A, banking/finance agreements, employment matters, and international business operations . This is a hands-on opportunity for an attorney who wants meaningful responsibility and the opportunity to grow within an in-house environment.
WHAT YOU'LL DO
• Support corporate governance , including annual shareholder meetings, shareholder communications, corporate calendars, and governance deadlines
• Review and interpret shareholder agreements, corporate bylaws, M&A agreements , and related corporate documents
• Ensure annual reports, filings, and corporate good-standing requirements are completed
• Support the formation and maintenance of legal entities across multiple jurisdictions, including coordination with local and outside counsel
• Review and help draft buy/sell and commercial contracts related to the company's commodities trading activities
• Review contracts and terms & conditions to identify legal and business issues
• Work with the Head of Tax and other internal stakeholders on entity setup and ongoing entity requirements
• Review asset-based lending and banking agreements , including covenants, notices, and compliance requirements
• Assist with employment-related legal matters and coordinate with appropriate employment law counsel as needed
• Identify legal issues and determine when to consult with specialized internal or outside counsel
• Coordinate with attorneys and advisors across different jurisdictions to support international operations
• Provide practical legal guidance while developing a strong understanding of the company's business and operations
WHAT YOU'LL BRING
• 2-3+ years of corporate, transactional, commercial, or similar legal experience
• JD and active bar admission
• Experience reviewing and/or drafting commercial contracts
• Strong understanding of corporate governance and entity matters
• Ability to analyze agreements and identify potential legal or business issues
• Strong research, analytical, writing, and communication skills
• Ability to learn new industries, business models, and legal issues quickly
• Strong judgment and willingness to seek guidance from the appropriate legal experts when needed
• Collaborative, hands-on approach and ability to work effectively with internal teams and outside counsel
• Commodity trading, procurement, international business, or similar commercial industry experience is a plus
• No litigation experience required
