Overview
Zeichner Ellman & Krause LLP, a prestigious midtown banking law firm, seeks an Associate Attorney for its Corporate practice with one to three years of experience.
This position offers significant client exposure, meaningful responsibility, and the opportunity to work directly with partners and senior attorneys on a wide range of sophisticated transactional matters
Qualifications
- J.D. from a law school accredited by the American Bar Association (ABA)
- Admitted to practice law in New York, or passed the bar and awaiting admission
- Strong drafting, analytical and organizational skills
- One to three years of relevant experience in a sophisticated transactional practice
Responsibilities
The role will include:
- Formation and structuring of private investment funds and investment vehicles
- Drafting and negotiating fund formation documents, including subscription agreements, investor questionnaires, and related documentation
- Preparing and negotiating limited liability company agreements, partnership agreements, shareholder agreements, and other governance documents
- Advising clients regarding entity formation, governance, capitalization, and compliance matters
- Assisting with mergers and acquisitions, joint ventures, and other strategic transactions
- Conducting legal due diligence and supporting transaction execution
- Working directly with clients, accountants, financial advisors, and opposing counsel
Salary Range: $160,000-$190,000, commensurate with experience.
License/Certification: NY Bar Admission Required.
Work Location: In person (with some remote flexibility)
