Qualifications
Although no individual will possess them all, the successful candidate will bring many of the following experiences, skills, and attributes
Law degree and strong academic record from a leading ABA accredited law school
At least 5-8 years of substantial, relevant legal experience at a top-tier law firm, sophisticated corporate legal department, or combination of the two
Expert knowledge with respect to due diligence, legal issues and key deal points in M&A
Extensive experience in independently structuring, drafting and negotiating purchase and sale agreements and related ancillary documents
Extensive experience in assisting, drafting and advising on corporate governance documents, including board and shareholder consents
Ability to independently structure, draft, review and negotiate other project/commercial contracts
Employment law counseling and experience is not required, but would be considered as a plus factor
Strong judgment and ability to translate complex legal concepts into clear, actionable advice for non-lawyers, as well as identify and implement practical solutions for complex business and legal problems
Self-starter with the ability to take ownership for tasks and problem-solving and advance matters independently while also being able to collaborate and work with business teams and other in-house lawyers
Ability to independently handle competing deadlines and shift priorities in a fast-paced environment
Exceptional communication skills
Excellent organizational, time management, and project management skills
Licensed to practice law or registered as in-house counsel in Texas or other jurisdiction
Responsibilities
Independently counsel and advise M&A team on structuring transactions to acquire companies, including due diligence review and negotiating and drafting Letters of Intent
Independently draft, review and negotiate stock purchase agreements, membership interest purchase agreements, asset purchase agreements, and ancillary documents for the acquisition of companies
Proactively and independently identify, counsel and advise the Company with respect to the risks arising in connection with purchase transactions, including developing and implementing plans, protocols and checklists for mitigating such risks
Effectively collaborate with, counsel and advise cross-functional stakeholders on matters relating to purchase transactions and the related financing facilities
Proactively and independently identify, design, implement and modify measures to improve the quality and efficiency of the Company’s processes relating to due diligence, negotiation, and the closing of transactions
Assist, advise and draft corporate governance documents, including board and shareholder consents
Assist, advise and draft non-disclosure and confidentiality agreements
Draft, update, and maintain template documents and standard operating procedures
Independently draft, review and negotiate other commercial agreements, including community association management agreements and proposals, maintenance and construction contracts, and other commercial and operation agreements
Provide legal support and assist with various other matters relating to the Company’s day-to-day business operations
Effective cross-team collaboration and coordination of legal workload with colleagues
Supervise and optimize work between in-house and outside counsel as needed
Perform other duties as assigned by General Counsel or other executives

The U.S./North America platform intends to grow rapidly both organically and through acquisition over the course of the next several years, and this candidate will be an important part of supporting that growth from a legal and business perspective.
