Attorney: Asset Management
Attorney: Asset Management needed by Manhattan law firm. Review, analyze and draft complex legal documents for registered and private funds clients using investment strategies across the regulatory spectrum. Draft registration statements for mutual funds and ETFs and documents for conversion of mutual funds to ETFs and for repurposing of existing mutual funds. Draft shelf registration statements for listed closed-end funds, takedown documents in connection with a shelf offering, supplements to registration statements, tender offer/repurchase documents for unlisted closed-end funds and proxy statements in connection with annual shareholder meetings of open and closed-end funds. Supervise junior associates in annual registration statement update filings for mutual funds and certain closed-end funds. Attend quarterly board meetings of fund complexes registered under the Investment Company Act of 1940 and review and draft board materials. Advise clients on compliance with new and existing rules and regulations impacting funds registered under the Investment Company Act of 1940. Review quarterly public filings or non-traded real estate investment trusts and business development companies. Draft quarterly diligence reports for distribution/placement agent clients. Review fund documents and draft agreements in connection with distribution of funds registered under the Investment Company Act of 1940 for distribution/placement agent clients. Review operations and performance of fund advisers and sub-advisers in connection with representation of a fund’s independent board of directors. $310,000 annually.
