Our national law firm client is seeking a New York barred corporate attorney to join their New York office. This role is ideal for an attorney who enjoys being a trusted day-to-day advisor to businesses rather than focusing exclusively on large, traditional M&A transactions.
The work includes reviewing, drafting, and negotiating commercial contracts, advising on corporate governance matters, handling general corporate transactions, assisting with entity formation and structuring, supporting M&A deals, and serving as outside general counsel to owner-managed and growth-oriented businesses. Strong drafting skills, sound judgment, and the ability to work directly with clients are essential.
Candidates should be admitted to the New York Bar required and have approximately five or more years of corporate experience, though candidates with additional experience are welcome. Strong drafting skills, attention to detail, and comfort working directly with clients are key.
We are specifically looking for a hands-on general corporate attorney with strong experience in corporate governance, drafting and negotiating commercial agreements, and supporting middle-market private companies. Candidates whose experience is primarily venture capital, private equity, securities, in-house, or niche practices (e.g., entertainment) are not aligned with this role.
Need someone with true general corporate experience supporting privately held operating companies particularly with operating agreements, distribution agreements, consulting agreements, sale representative agreements, shareholder agreements, business contracts, and transactional support.
