About the Role

The Company is seeking an Interim General Counsel to play a pivotal role in guiding the organization through a private equity acquisition. The successful candidate will be responsible for managing the entire legal process of the acquisition, from due diligence to close, and will be instrumental in supporting all legal functions during the transition to new ownership. This role requires a legal professional with a strong background in M&A and complex corporate transactions, particularly within the healthcare industry, and a proven track record of managing outside counsel. The Interim GC will also be expected to lead the Legal Due Diligence process, negotiate and advise on key deal terms, and provide strategic counsel to the Board and investment committee on transaction risk. Applicants for the Interim General Counsel position at the company must have a Juris Doctor (J.D.) degree and a minimum of 10 years' legal experience, with a focus on M&A and complex corporate transactions. The role demands a candidate with a deep understanding of the legal due diligence process, the ability to assess and mitigate risk, and a background that includes significant exposure to private equity transactions. The ideal candidate will have a strong educational and professional background, with experience as a legal leader in a top law firm or as a senior in-house executive with a preference for those with private equity purchase-and-sale experience in the healthcare sector. The Interim GC will be expected to be in-person in Pasadena, CA, and must be adept at managing outside counsel, negotiating, and providing strategic legal advice in a high-stakes, fast-paced environment.
